Terms and Conditions of Use of LENDI Platform

Information on LENDI Platform

LENDI Joint Stock Company ("LENDI") is the operator of the LENDI online trading floor service (the "Platform"), providing a platform connecting Renters and Merchants, supporting and facilitating parties to search, post, select, execute, and perform Transactions for renting and leasing Assets on the Platform.

These Terms and Conditions of Use of LENDI Platform ("Terms") stipulate the conditions, rights, and obligations applicable to Users upon registering for, accessing, and using the Platform as well as executing transactions through the Platform.

By registering an account, accessing, or using the Platform, or confirming a Transaction, the User confirms having read, understood, and agreed to be bound by these Terms and relevant policies and regulations promulgated by LENDI from time to time.

I.General provisions

Article 1. Scope and Applicable Subjects

  1. These Terms stipulate the conditions, rights, and obligations applicable to organizations and individuals registering for, accessing, and using the Platform to post, search for, lease, rent, and execute transactions related to assets.
  2. These Terms apply to:
    1. Merchants: means leasing parties, individuals, or organizations having ownership rights or other legal rights to assets and posting assets for lease on the Platform;
    2. Renters: means individuals or organizations having the demand to rent assets through the Platform; and
    3. Other entities participating in or using features and services of the Platform within the permissible scope.
  3. When using the Platform, Users shall concurrently be governed by policies, processes, and guidelines published by LENDI from time to time, including but not limited to the Privacy and Personal Data Processing Policy and the Complaint and Dispute Resolution Process.

Article 2. Interpretation of Terms

  1. "LENDI" means LENDI Joint Stock Company, an enterprise operating the LENDI online trading floor service.
  2. "Platform" means the LENDI online trading platform operated by LENDI, including interfaces and functionalities provided to Users through applications, websites, and/or other electronic access methods published by LENDI from time to time.
  3. "User" means an individual or organization registering for, accessing, or using the Platform.
  4. “Renter” means a User having the demand to rent and use Assets through the Platform.
  5. “Merchant” means a User having ownership rights or other legal rights to Assets and posting Assets for lease on the Platform.
  6. "Asset" means an asset posted or whose information is provided by a Merchant for lease on the Platform and satisfies conditions and criteria applied by LENDI from time to time.
  7. "High-Value Asset" means an Asset belonging to a group with value or risk levels requiring the application of control mechanisms, verification, or additional Transaction conditions according to criteria published or applied by LENDI from time to time.
  8. "Rental Order" means a request to rent Assets created and sent by a Renter through the Platform.
  9. "Transaction" means an Asset rental Transaction established between a Renter and a Merchant through the Platform.
  10. "Lease Contract" means an agreement/contract executed between a Renter and a Merchant to establish the rights and obligations of the parties related to the rental of Assets. LENDI is not a party to the Lease Contract, unless LENDI directly participates in the Transaction, has another written agreement with the parties, or where otherwise provided by law.
  11. "Rental fee" means the amount of money a Renter shall pay to a Merchant to rent Assets pursuant to a Transaction.
  12. "Service Fee" means the fee a User shall pay to LENDI for services provided by LENDI pursuant to applicable fee policies.
  13. "Transaction Processing Fee" means the fee related to processing credit card payment Transactions, if any, applied pursuant to LENDI’s fee policy. This fee may be deducted from the amount refunded to Users pursuant to applicable regulations.
  14. "Security Deposit" means the amount of money a Renter shall pay as required by each Transaction to guarantee the return of rented Assets pursuant to the Lease Contract and applicable conditions for the Transaction.
  15. "Identity Verification Solution" means the technology solution utilized by LENDI to verify identity and User information, which may be provided by LENDI or a third party.
  16. "Asset Moderation" means the process where LENDI inspects part or all of the information, dossiers, status, identifying characteristics, and/or relevant information of Assets according to moderation procedures, criteria, and scope applied by LENDI from time to time.
  17. "Joint Inspection Minutes" means minutes or electronic data recording the status of Assets at the time of handover/receipt or inspection.
  18. "Shipping Unit" means a third party providing Asset transportation, delivery, and receipt services.
  19. "Payment Gateway" means the system, platform, or service provided by banks, payment service providers, payment intermediary service providers, or other lawful payment service entities connected or utilized by LENDI to support payments, refunds, deductions, and/or money transfers related to Transactions.
  20. "Enterprise Merchant" means a Merchant belonging to a business account group identified by LENDI and subject to a separate management mechanism on the Platform.
  21. "Sub-account" means an account created under a Merchant account to serve the management and operation of Merchant activities according to delegated authority established on the Platform.
  22. "Trust Score" means a trust evaluation mechanism applied by LENDI to support risk governance and enhance the safety and transparency of Transactions.
  23. "Working Day" means a day excluding Saturdays, Sundays, and public holidays pursuant to Vietnamese law.
  24. "Force Majeure Event" means an event occurring objectively, unforeseeably, and irremediably despite the application of all necessary measures and allowable capacity.

Article 3. Nature of LENDI’s Operations

  1. LENDI operates an online trading floor service connecting Merchants and Renters to facilitate and provide opportunities for Transactions and business between parties through the Platform.
  2. LENDI provides the Platform and tools and features supporting Renters and Merchants to search, post, select, exchange information, and execute Asset lease and rental Transactions.
  3. The Lease Contract shall be executed directly between the Renter and the Merchant. The Renter and the Merchant shall be self-responsible for agreeing upon, executing, and performing the Lease Contract, including rights and obligations related to Assets and Transactions, unless otherwise provided by these Terms or applicable policies of LENDI.
  4. LENDI is not a Merchant, a Renter, or the owner of Assets under the Lease Contract and does not directly participate in the rental relationship between the Renter and the Merchant, unless LENDI directly participates in the Transaction or has another written agreement with the parties.
  5. Rental fee, rental conditions, and specific agreements between the Merchant and the Renter shall be established according to information published on the Platform and the agreement of the parties.
  6. LENDI may provide services and features supporting Transactions, including User verification, Asset Moderation, payment support, delivery and receipt, Asset status inspection, receipt and support for handling complaints, disputes, and other arising issues pursuant to these Terms and applicable policies from time to time.
  7. The performance of inspection, verification, or Transaction support by LENDI shall not be construed as LENDI guaranteeing absolutely the legality, ownership rights or leasing rights, status, quality, origin, authenticity, or usability of assets, except within the scope of responsibility directly committed by LENDI or as otherwise provided by law.

Article 4. Acceptance of Terms

  1. By registering an account, accessing, or using features or executing Transactions on the Platform, the User confirms having read, understood, and agreed to comply with these Terms and relevant published policies of LENDI.
  2. Where a User does not agree with any content of these Terms, the User shall not continue using features or executing Transactions on the Platform.
  3. For Users being organizations, individuals registering, managing accounts, and transacting on the Platform must have full authority to represent such organizations.

Article 5. Permissible Assets for Posting

  1. LENDI may support posting and leasing lawful Assets under categories published by the Platform from time to time, including but not limited to:
    1. Handbags, wallets, and carry-on accessories (including handbags, wallets, backpacks, suitcases, travel bags);
    2. Watches and jewelry (watches, jewelry, gemstones, jewelry accessories);
    3. Fashion accessories (eyewear, hats, scarves, belts, footwear, and other beauty and styling accessories);
    4. Event and evening wear (dresses, suits, ao dai, wedding attire, gala attire, and other special occasion attire);
    5. Costumes and performance attire (cosplay, stage costumes, festival costumes, artistic performance costumes);
    6. Daily wear (casual wear, sportswear, seasonal wear, loungewear); and
    7. Other lawful Assets approved by LENDI.
  2. Merchants may only post Assets over which they possess ownership rights or other legal rights to lease and shall provide full and accurate information and documents upon request by LENDI.
  3. It is strictly prohibited to post or execute Transactions for:
    1. Goods or Assets prohibited by law from business, circulation, or lease;
    2. Counterfeit goods, knock-offs, or goods infringing intellectual property rights;
    3. Assets with illegal origin or showing signs of illegality;
    4. Assets used to commit acts violating the law; or
    5. Other Assets in restricted categories or not accepted by LENDI.

II.Account and User verification

Article 6. Conditions for Using the Platform

  1. Individuals shall satisfy age conditions according to each type of Transaction:
    1. For ordinary Assets: from full 15 years of age;
    2. For High-Value Assets: from full 18 years of age.
  2. Users from full 15 (fifteen) years of age to under 18 (eighteen) years of age may use the Platform and execute Transactions within the scope permitted by law. Before a Rental Order of Users in this age group becomes effective, Users shall complete the electronic confirmation mechanism of Parents or Legal Representatives pursuant to methods applied by LENDI, including OTP or other electronic confirmation methods.

    LENDI has the right to request provision and verification of information of Parents or Legal Representatives in necessary cases. Rental Orders shall only be confirmed and become effective after completing confirmation mechanisms pursuant to LENDI’s regulations.

  3. LENDI has the right to apply additional conditions for each group of Assets, Transactions, or Users to ensure Transaction safety and risk governance.
  4. Users being organizations shall execute Transactions through legal representatives or validly authorized representatives.
  5. Depending on the Asset category and LENDI’s risk governance policy, Renters may be required to provide information or documents proving financial capacity prior to executing Transactions.

Article 7. Account Registration and Management

  1. Each User may only register and use an account using their own identification information, unless otherwise permitted by LENDI according to each account type.
  2. Account names and/or account identifiers registered by Users shall satisfy requirements of the Platform and shall not duplicate or cause confusion with accounts of other Users.
  3. Users shall provide accurate, full, and updated account information throughout the process of using the Platform.
  4. Users shall be responsible for securing login information and responsible for activities executed through their accounts, unless proving that unauthorized usage did not arise from the User’s fault.
  5. Users shall not:
    1. Allow others to use their accounts to log in or execute Transactions;
    2. Provide fraudulent information or use another person’s identity;
    3. Use accounts to evade restrictions, sanctions, or management mechanisms of LENDI; or
    4. Perform any act to interfere unlawfully with operations of the Platform.
  6. LENDI has the right to request Users to verify, supplement, or update account information when necessary, including serving purposes of identity verification, risk governance, fraud prevention, or ensuring safety for Transactions.
  7. LENDI may apply temporary suspension, restriction, or account termination measures pursuant to Article 10 of these Terms and applicable policies.
  8. Users may request account deletion pursuant to methods and forms stipulated by LENDI. Account deletion shall not terminate rights, obligations, and liabilities that arose prior to account deletion.
  9. Where Enterprise Merchants are permitted by LENDI to use Sub-accounts, Enterprise Merchants shall be responsible for managing, delegating authority, and controlling activities of Sub-accounts belonging to such Enterprise Merchants.

Article 8. Identity Verification (eKYC)

  1. Users shall complete the eKYC process pursuant to LENDI’s requests prior to executing Transactions belonging to cases requiring verification.
  2. Depending on each subject, LENDI may request information and documents, including but not limited to:
    1. Citizen Identity Card/ Identity Card or passport and information on identity documents;
    2. Email and phone number;
    3. Bank account registered in the User’s own name;
    4. Address verification information and documents;
    5. For organizations: Enterprise Registration Certificate, tax code, legal representative information, and contact information; and
    6. Other information necessary to verify Users or manage Transaction risks.
  3. LENDI may utilize Identity Verification Solutions provided by third parties, including facial biometric identification and matching technology, within the scope and purposes stipulated in LENDI’s Privacy and Personal Data Processing Policy.
  4. Where verification information is invalid, documents are expired, show signs of fraud, borrowing, or using another person’s identity, or where Users intentionally bypass verification processes, LENDI has the right to refuse verification, restrict Transactions, or lock accounts pursuant to Platform regulations and applicable law.
  5. LENDI’s collection, processing, storage, usage, and sharing of Users’ personal data, including data collected during identity verification processes and usage of identity verification solution services, shall be executed pursuant to LENDI’s Privacy and Personal Data Processing Policy and legal regulations on personal data protection applicable from time to time. Users are responsible for reading and fulfilling necessary procedures, confirmations, or consents as required by law and LENDI’s policies prior to using corresponding features.

Article 9. Verification of Financial Capacity

  1. LENDI may apply financial capacity evaluation mechanisms for Renters depending on Asset category, Transaction value, and risk level.
  2. Renters satisfying internal risk management criteria of LENDI may not be required to provide documents proving financial capacity.
  3. Where requested, Renters may be required to provide appropriate documents, including bank statements, recent pay slips, tax reports, or equivalent documents.
  4. LENDI has the right to refuse or restrict Transactions if Renters do not satisfy conditions applicable to corresponding Transactions.

Article 10. Temporary Suspension, Restriction, and Account Termination

LENDI may temporarily suspend, restrict, or terminate accounts in cases where:

  1. Account information is inaccurate or unverifiable;
  2. Breaching these Terms or LENDI policies;
  3. Showing signs of fraud, forgery, or using another person’s identity;
  4. Executing Transactions or acts showing signs of law violations;
  5. Posing risks of causing loss or damage to other Users or LENDI; or
  6. Other cases necessary to ensure safety and security of the Platform.

III.Provisions for Merchants and Assets

Article 11. Registration as a Merchant

  1. Merchants shall complete registration and verification steps as required by LENDI.
  2. Merchants shall possess ownership rights or other legal rights enabling them to post and lease Assets.
  3. For High-Value Assets, Merchants shall provide documents proving ownership rights, origin, and/or authenticity of Assets as required by LENDI.
  4. LENDI may refuse posting or request supplementary documents if Asset information is incomplete or shows signs of inappropriateness.
  5. Merchants shall be responsible for self-assessing, declaring, registering, and fully performing obligations regarding taxes, fees, charges, and other financial obligations arising from ownership, exploitation, leasing of Assets, or income received through LENDI pursuant to legal regulations. Merchants shall be responsible for the accuracy, completeness, and legality of information and documents provided regarding tax obligations. LENDI shall not be liable on behalf of Merchants for tax obligations of Merchants, unless otherwise provided by law or agreement between the parties. Merchants shall cooperate and provide necessary information and documents for LENDI to perform withholding, collection, declaration, reporting, or provision of information to competent authorities where required by law.
  6. LENDI has the right to temporarily hold disbursement or transfer of amounts that Merchants are entitled to receive from Transactions for a reasonable period after completion of Transactions to serve reconciliation, confirmation of Transaction completion, handling of complaints, disputes, or verification of unusual signs related to Assets and Transactions. Holding period, held amounts, and disbursement timing shall be executed pursuant to payment mechanisms and operational policies published or applied by LENDI on the Platform, in conformity with legal regulations.

Article 12. Asset Information and Status

  1. Merchants shall provide truthful, complete, and updated information regarding Assets, including status, characteristics, Rental fee, attached accessories, and related lease conditions.
  2. Merchants shall notify Renters in advance regarding defects, wear and tear signs, or special conditions that may affect Asset usage.
  3. Merchants shall not change, swap, or send Assets different from Assets posted and confirmed in Transactions.

Article 13. Asset Moderation and Inspection

  1. LENDI may apply Asset Moderation processes before permitting Assets to be displayed or entered into Transactions.
  2. Moderation processes may include:
    1. inspecting dossiers and documents related to Assets; and
    2. inspecting status, identifying characteristics, or authenticity of Assets.
  3. For Transactions applying inspection processes, Assets shall be inspected prior to handover to Shipping units and prior to return to Merchants.
  4. At the time of handover, parties shall perform direct joint inspection or confirm Asset status using images, videos, or other electronic methods as guided by the Platform.
  5. Inspection results, images, videos, and relevant data may be utilized as bases to determine Asset status and resolve arising issues in Transactions.

Article 14. Rental fee and Lease Conditions

  1. Merchants shall determine Rental fee and lease conditions within the scope of LENDI policies.
  2. Merchants shall publicly disclose or fully provide necessary information for Renters to make Transaction decisions, including Rental fee, lease duration, requirements on Security Deposit, usage conditions, Asset return conditions, and related expenses.
  3. LENDI has the right to request adjustment or removal of posted information if such information is inaccurate, misleading, or breaches Platform policies.

IV.Asset rental Transactions

Article 15. Rental Ordering and Transaction Confirmation

  1. Renters shall select Assets, lease duration, and Transaction conditions displayed on the Platform to send Rental Order.
  2. Transactions shall be established between Renters and Merchants pursuant to contracting mechanisms applied by LENDI for each Transaction type on the Platform. Where LENDI supports Transaction confirmation automatically, the system may send confirmation notifications after Renters complete confirmation steps and payment obligations as required.
  3. After Transactions are confirmed, parties shall perform correctly the established conditions.
  4. Rental ordering, Transaction confirmation, acceptance of Transaction conditions, and/or performance of other confirmation actions on the Platform by Users may be executed via electronic methods and have legal validity pursuant to applicable law. Electronic data recording rental ordering, Transaction confirmation, Transaction conditions, and relevant information shall be recorded and stored by LENDI pursuant to legal regulations. LENDI guarantees storage and access capacity for electronic data related to Transactions and contracts executed on the Platform for a minimum duration of 03 (three) years from the time of execution, or a longer duration if required by applicable law.

Article 16. Lease Contract

  1. Depending on each Transaction, LENDI may support parties to establish Lease Contracts in electronic form or other forms recognized by law. Where Lease Contracts are established in electronic form, execution, confirmation, and performance of contracts shall be conducted through electronic methods provided or accepted by LENDI on the Platform and in conformity with applicable legal regulations.
  2. Parties shall check Transaction information, content, and terms of Lease Contracts prior to confirmation and shall be liable for commitments established by them. Electronic confirmation of Transactions, Lease Contracts, or relevant content shall be considered acts demonstrating the confirming party’s will pursuant to applicable legal regulations.
  3. Electronic data related to the process of executing and performing Lease Contracts, including Transaction information, contract content, party confirmations, and other relevant data, may be recorded, stored, and utilized by LENDI as bases to identify Transactions, resolve complaints, disputes, and perform obligations pursuant to legal regulations. LENDI guarantees storage and access capacity for electronic data related to Transactions and contracts executed on the Platform for a minimum duration of 03 (three) years from the time of execution, or a longer duration if required by applicable law.
  4. LENDI’s provision of tools or contract templates shall not render LENDI a party to Lease Contracts, unless LENDI has another written agreement.

Article 17. Payment

  1. Renters shall pay Rental fee, Security Deposit, Service Fee, and other fees and expenses arising from Transactions through payment methods supported and published by LENDI from time to time, including bank transfers, payment cards, e-wallets, and/or other lawful payment methods.
  2. Users shall link and use bank accounts, e-wallets, or lawful payment instruments under their lawful usage rights to execute payments, refunds, and related financial Transactions on the Platform as required by LENDI and payment service providers.
  3. Receipt, processing, retention, refund, deduction, and transfer of money related to Transactions shall be performed through Payment Gateways and/or banks, payment service providers, payment intermediary service providers, or other lawful payment service entities selected and published by LENDI from time to time.
  4. LENDI does not directly receive, manage, or retain User funds in LENDI’s ordinary payment accounts. Receipt, processing, transfer, refund, or performance of payment Transactions related to Transactions shall be executed through Payment Gateways, banks, payment intermediary service providers, or other payment service providers connected or designated by LENDI, under mechanisms applicable to each Transaction and in conformity with legal regulations.
  5. Fees, expenses, and other financial obligations arising from Transactions shall be determined according to information displayed to Users prior to Transaction confirmation and pursuant to Fee Policies published by LENDI from time to time.

Article 18. Security Deposit

  1. Depending on Asset category and Transaction risk levels, Renters may be required to pay a Security Deposit at amounts notified prior to Rental Order confirmation.
  2. Security Deposit aims to guarantee performance of the Renter’s Asset-return obligations under Lease Contracts, including obligations to return Assets on time, in correct quantities, status, and accompanied by full accessories, documents, or attached components as agreed.
  3. Security Deposit shall be paid by Renters through Payment Gateways or payment methods published by LENDI for each Transaction. LENDI does not directly receive, manage, or retain Security Deposit in LENDI’s ordinary payment accounts. Security Deposit shall be processed through payment mechanisms of Payment Gateways, banks, payment intermediary service providers, or payment service providers related to Transactions.
  4. Where Renters return Assets fully, on time, and without arising obligations requiring deduction or processing of Security Deposit under Lease Contracts and these Terms, Security Deposit shall be refunded pursuant to methods and timelines applicable to Transactions.
  5. Where Renters lose, damage, or cause shortages to Assets or accessories, or fail to perform Asset return obligations under Lease Contracts, Security Deposit may be used to pay part or all of financial obligations borne by Renters pursuant to Article 24 and Article 25 of these Terms.
  6. Processing of Security Deposit shall be performed based on delivery and receipt data, Joint Inspection Minutes, inspection results, evidence provided by parties, agreements between parties, and/or complaint resolution results pursuant to LENDI’s Complaint Resolution and Trust Score Regulations.
  7. Where Security Deposit is insufficient to pay all obligations borne by Renters, Renters remain responsible for paying remaining deficient obligations under Lease Contracts, these Terms, and applicable legal regulations.

Article 19. Delivery, Receipt, and Transportation

  1. LENDI may designate or connect Users with Shipping Units to execute delivery and receipt of Assets.
  2. For High-Value Assets, LENDI has the right to apply additional risk governance measures for transportation processes, including requiring Users to use Shipping Units, shipping methods, delivery and receipt methods, Asset value declarations, insurance, or risk guarantee services appropriate to the nature and value of Assets. Specific requirements, if any, shall be notified to Users prior to Transaction confirmation.
  3. Responsibility for Assets during transportation shall be determined based on actual handover timing and actions, delivery and receipt vouchers, inspection data, and service conditions applicable to Shipping Units and/or Transactions.
  4. Users shall cooperate to perform inspection and confirmation of Asset status at the time of delivery and receipt as guided by LENDI.
  5. LENDI shall provide or notify Renters of necessary information obtained by LENDI related to transportation processes and Asset delivery status through the Platform or appropriate communication methods. Depending on features applied for each Transaction, LENDI may update Renters with information regarding order processing status, Asset receipt, handover to Shipping Units, transportation processes, and/or estimated Asset delivery times.
  6. Merchants shall cooperate with LENDI and Shipping Units to execute Asset handover at correct times, locations, and delivery requirements established. Merchants shall execute reasonable measures to prepare and hand over Assets to Shipping Units on time, attempting to ensure Assets are delivered to Renters within estimated timeframes notified to Renters.
  7. Asset delivery times may vary due to factors within the control of Shipping Units, Renters, traffic conditions, weather, Force Majeure Events, or other objective factors. LENDI shall notify Users of changes received by LENDI and may support parties to handle arising issues related to delivery pursuant to these Terms.

Article 20. Asset Usage and Maintenance

  1. Renters shall use Assets for proper purposes, proper instructions, and in conformity with published lease conditions.
  2. Renters shall not:
    1. Use Assets for illegal purposes;
    2. Arbitrarily repair, alter, disassemble, or interfere with Assets;
    3. Transfer, sublease, or allow others to use Assets without permission; or
    4. Perform acts that may cause loss, damage, or reduction in asset value.
  3. Renters shall maintain Asset status and execute reasonable measures to protect Assets from loss, damage, unauthorized usage, or foreseeable risks during custody. Renters shall not arbitrarily dispose of, pledge, mortgage, transfer, sublease, disassemble, repair, or alter the status, structure, or characteristics of Assets without the Merchant’s permission or LENDI approval where within LENDI’s scope of control. Where Assets are lost, damaged, reduced in value, or used for improper purposes due to the Renter’s fault, Renters shall compensate for actual, reasonable loss and damage determined based on Asset status, inspection results, relevant evidence, and applicable complaint and dispute handling processes.
  4. Renters shall return Assets on time, at locations, and via methods agreed in Transactions. Where Renters return Assets late, Renters may be required to pay rent amounts or Asset usage fees arising corresponding to the extended possession and usage time, together with breach penalties and/or loss compensation (if any) pursuant to party agreements and applicable legal regulations.

Article 21. Asset Return

  1. Renters shall return Assets on time, at locations, and via methods determined in Transactions.
  2. Upon return, Asset status may be inspected and cross-checked against status recorded prior to delivery.
  3. Return shall be confirmed on the system or through corresponding delivery data.
  4. Where Assets are lost, damaged, lacking accessories, or in a status different from recorded status, LENDI may apply processing mechanisms pursuant to Transactions and Platform policies.

V.Transaction cancellation, refunds, and financial responsibility

Article 22. Transaction Cancellation

  1. Transaction cancellation shall be performed pursuant to cancellation conditions applicable to each Transaction and Asset category, notified to Users prior to Transaction confirmation.
  2. Depending on cause, timing, and conditions of Transaction cancellation, Users may incur cancellation fees, arising expenses, and/or other financial obligations pursuant to applicable cancellation conditions and legal regulations.
  3. Where Transaction cancellation arises due to fault of a party, the faulty party shall bear financial obligations and compensate for actual, direct, reasonable loss and damage arising for the damaged party under the Lease Contract, agreements between parties, and legal regulations.
  4. Processing of amounts paid by Renters upon Transaction cancellation, including Rental fee, Service Fees, and other fees and expenses, shall be performed pursuant to cancellation conditions applicable to Transactions. Where Renters have paid Security Deposit, Security Deposit processing shall be performed pursuant to Article 18 and Article 25 of these Terms.

Article 23. Refunds

  1. Refunded amounts to Users, if any, shall be refunded via original payment methods or other methods accepted by LENDI and/or payment service providers.
  2. Refunds shall be executed through Payment Gateways and/or relevant payment service providers. Actual refund timing depends on payment methods, banks, card issuers, e-wallets, and/or payment service providers.
  3. For Security Deposit, estimated return timelines may apply as follows:
    1. From 07 to 14 days from completion of inspection, reconciliation, and determination that no deduction obligations arise for bank transfer payment Transactions; and
    2. From 30 to 45 days from completion of inspection, reconciliation, and determination that no deduction obligations arise for credit card payment Transactions.

    Actual return timelines may vary depending on payment methods, banks, card issuers, e-wallets, and/or payment service providers.

  4. Where complaints, disputes, incomplete reconciliation, or undetermined financial obligations arise, refunds of relevant amounts may be temporarily held until issues are handled pursuant to these Terms and/or LENDI’s Complaint Resolution and Trust Score Regulations.
  5. Where credit card payment Transactions or other payment methods incur Transaction Processing Fees, refunded amounts may be deducted by corresponding Transaction Processing Fees, if such fees were notified to Users prior to Transaction confirmation and conform with applicable refund policies.

Article 24. Loss, Damage, and Late Asset Return

  1. Renters shall compensate for actual loss and damage arising from loss, damage, shortage of Assets or accessories, or late Asset return due to the Renter’s fault.
  2. Compensation amounts shall be determined based on Asset status before and after lease duration, damage extent, Asset value, repair or replacement expenses, and relevant documents and evidence.
  3. Where Renters return Assets later than agreed timelines, Renters shall pay rent amounts or Asset usage expenses arising during late return periods, if any, at rates applicable to Transactions or pursuant to party agreements. Additionally, depending on Transactions and applicable legal regulations, Renters may bear breach penalties due to late return and compensate for actual, direct loss and damage arising for Merchants and/or entitled parties, including but not limited to reasonable expenses arising from Asset recovery, transportation, handling, and direct benefits entitled parties would have received if Assets were returned on time.

    Breach penalty rates, if applied, shall not exceed maximum rates permitted by law applicable to corresponding Transactions. Loss compensation amounts shall be determined based on actual, direct, reasonable loss and damage with proven grounds pursuant to legal regulations.

  4. For High-Value Assets, damage determination may additionally rely on inspection, authentication, valuation results, or documents proving Asset value.
  5. Where damage arises during transportation, party liability shall be determined based on actual handover timing and actions, delivery data, inspection results, and conditions and liabilities applicable to Shipping Units and/or Transactions.

Article 25. Deduction and Processing of Security Deposit

  1. Where Renters incur payment obligations related to loss, damage, shortage, or failure to return Assets under Lease Contracts, Security Deposit may be utilized to perform part or all of such obligations under mechanisms applied and notified to parties upon establishing Transactions and pursuant to these Terms.
  2. Deduction of Security Deposit shall rely on Asset status, Joint Inspection Minutes, delivery data, images, videos, documents, party agreements, and/or complaint and dispute resolution results, as case may be.
  3. Where Security Deposit funds are deducted to satisfy a Renter’s obligations, deducted amounts shall not exceed the financial obligations that the Renter is responsible for paying under Lease Contracts, these Terms, and applicable legal regulations.
  4. Deduction of Security Deposit shall not exclude the damaged party’s right to request Renters to pay remaining deficient obligations if Security Deposit are insufficient to fully perform obligations.
  5. Where complaints or disputes arise regarding loss, damage, shortage, or return of Assets, deduction and refund of Security Deposit may be temporarily held until sufficient grounds exist to determine party obligations under applicable complaint and dispute resolution processes.

VI.Trust evaluation mechanism

Article 26. Trust Evaluation Mechanism

  1. LENDI applies a trust evaluation mechanism ("Trust Score") for Users to support risk governance and enhance safety and transparency of Transactions on the Platform.
  2. Trust Scores may apply to both Renters and Merchants and may be displayed on the Platform pursuant to LENDI policies from time to time.
  3. Trust Scores serve as risk governance tools of the Platform and are not absolute evaluations or certifications of reputation, financial capacity, or quality of any User.

Article 27. Principles for Calculating and Updating Trust Score

  1. Trust Scores shall be calculated and updated based on criteria, data, and methods formulated, published, or applied by LENDI from time to time.
  2. Factors considered may include Transaction history, obligation compliance levels, delivery results, User feedback, complaint history, and data related to Transaction safety levels.
  3. LENDI has the right to adjust scoring mechanisms, criteria, and updating methods for Trust Scores to suit operational status and risk governance of the Platform.
  4. Trust Scores may be updated automatically and/or subject to LENDI inspection and review in each case.

Article 28. Acts Affecting Trust Score

Acts that may increase or decrease Trust Scores include complying with or breaching Transaction obligations, Asset return status, cooperation levels in inspecting and handling Transactions, complaint history, and other acts pursuant to LENDI’s Trust Score mechanism.

Article 29. Measures Applied Based on Trust Score

  1. Based on Trust Scores and identified risk levels, LENDI may apply appropriate management measures, including limiting certain features, requesting verification or supplementary document provision, restricting Transactions, or other measures pursuant to other Platform policies.
  2. Application of management measures based on Trust Scores shall not deprive Users of rights to lodge complaints pursuant to LENDI processes or rights to request dispute resolution under legal regulations.

Article 30. Adjustment and Feedback on Trust Score

  1. Users may request LENDI to review Trust Scores where believing evaluation basis information contains errors or inaccuracies.
  2. LENDI may request Users to provide supplementary documents or information to serve inspection and verification.
  3. LENDI shall review and respond to User requests pursuant to Trust Score mechanisms and processes published by LENDI from time to time.

VII.Platform usage rules

Article 31. Prohibited Acts

Users shall not perform the following acts:

  1. Providing fraudulent or misleading information;
  2. Fraud, identity forgery, or Asset forgery;
  3. Posting counterfeit Assets, knock-offs, or assets of illegal origin;
  4. Exploiting the Platform to commit law violations;
  5. Unlawfully interfering with LENDI systems, data, or algorithms;
  6. Using automated tools to mine data or manipulate Platform operations without LENDI permission;
  7. Creating or using accounts to evade LENDI restriction measures or sanctions; or
  8. Performing other acts contrary to law, contrary to these Terms, or affecting lawful rights and interests of LENDI or other Users.

Article 32. Account and Transaction Data

  1. Users shall not execute Transactions through accounts of others or transfer account usage rights to third parties, unless permitted by LENDI pursuant to these Terms.
  2. LENDI has the right to store and process Transaction data within scope necessary to operate the Platform, reconcile, handle complaints and disputes, prevent fraud, ensure Transaction safety, and perform obligations under legal regulations.
  3. Processing of personal data shall be performed pursuant to the Privacy and Personal Data Processing Policy of LENDI and applicable legal regulations.

Article 33. User-Provided Content

  1. Users shall be responsible for information, images, videos, reviews, asset descriptions, and other content posted or provided by them on the Platform.
  2. Users shall ensure provided content:
    1. Is accurate and not misleading;
    2. Does not infringe lawful rights and interests of third parties; and
    3. Does not violate law or LENDI policies.
  3. LENDI has the right to hide, edit, refuse display, or remove content breaching or showing signs of these Terms.
  4. Where LENDI receives valid and complete requests from competent state authorities regarding removal, deletion, access restriction, or temporary suspension of display of information, content, accounts, or Assets showing signs of law violations, LENDI has the right to apply necessary measures to fulfill such requests. Unless otherwise provided by law or request of competent authorities, LENDI shall execute removal or access restriction for relevant information, content, or Assets within 24 (twenty-four) hours from receipt of valid and complete requests.

Article 34. Intellectual Property Rights

  1. Platform components, including names, logos, interfaces, software, designs, databases, content created by LENDI, and other intellectual property belong to lawful ownership and usage rights of LENDI or lawful licensors protected under legal regulations.
  2. Users shall not copy, modify, distribute, commercially exploit, or use the intellectual property of LENDI outside the scope permitted by LENDI or permitted by law.
  3. Users grant LENDI non-exclusive usage rights to User-provided content within scope necessary to operate, manage, display, and promote the Platform and Transactions, in conformity with these Terms, Privacy and Personal Data Processing Policy of the Platform, and applicable legal regulations.

VIII.Roles and responsibilities of LENDI

Article 35. Responsibilities of LENDI

Within a reasonable scope and appropriate to the role of operating the Platform, LENDI is responsible for:

  1. maintaining and providing Platform functionalities;
  2. supporting User and Asset verification processes pursuant to applicable policies;
  3. supporting payment, delivery and receipt, inspection, and Transaction management within the scope of services provided;
  4. providing complaint receipt and handling mechanisms; and
  5. applying reasonable measures to ensure safety, security, and stability of the Platform.

Article 36. Limitation of Liability

  1. LENDI shall not be liable for individual acts or obligations of Merchants, Renters, or third parties if such acts or obligations fall outside the scope of services directly provided by LENDI.
  2. LENDI shall not be liable for events beyond reasonable control of LENDI or arising from acts, fault, or breaches of Users or third parties.
  3. Provisions in this Article shall not exclude LENDI’s liability where law mandatorily requires LENDI to bear liability.

Article 37. Responsibilities of Users

Users are responsible for:

  1. Complying with Terms and LENDI policies;
  2. Providing accurate and updated information;
  3. Fully performing payment obligations and Transaction-related obligations;
  4. Maintaining Assets during custody;
  5. Cooperating to provide information, documents, and evidence when issues arise;
  6. Compensating for loss and damage pursuant to legal regulations and applicable agreements if faulty in causing loss and damage to LENDI or other parties.

Article 38. Force Majeure Events

  1. Neither party shall be liable for inability or delay in performing obligations due to Force Majeure Events pursuant to legal regulations.
  2. The affected party shall notify relevant parties within a reasonable time and apply necessary measures to limit damage.
  3. Events considered Force Majeure Events to the extent satisfying conditions under legal regulations include, but are not limited to:
    1. Technical incidents on a large scale affecting operations of the Platform, payment systems, authentication, or information technology systems;
    2. Cyberattacks, unauthorized access, denial-of-service attacks, malware, or other attacks beyond reasonable control of LENDI; and
    3. Incidents, interruptions, or operational shutdowns of technology infrastructure, cloud computing systems, data centers, telecommunication networks, payment systems, eKYC services, or essential technology service providers that LENDI cannot reasonably control or remediate.

    The affected party shall apply reasonable measures to limit damage and restore performance of obligations as soon as possible.

IX.Amendments to Terms and policies

Article 39. Revision and Supplementation of Terms

  1. LENDI has the right to revise and supplement Terms to suit legal changes, business models, Platform features, or risk governance requirements.
  2. Updated versions shall be published on the Platform and become effective from notification timing or another timing specified in notifications.
  3. Continued usage of the Platform by Users after Terms are updated shall be construed as Users accepting updated versions, unless otherwise provided by law.

Article 40. Policies and Related Documents

  1. Policies published by LENDI from time to time form an integral part of the Platform usage mechanism within applicable scopes.
  2. The Privacy and Personal Data Processing Policy separately stipulates collection, usage, storage, sharing, and protection of User personal data.
  3. The Complaint and Dispute Resolution Process separately stipulates procedures, timeframes, evidence, and handling mechanisms upon arising complaints or disputes related to Transactions.
  4. Revisions and supplements to Terms shall not alter rights and obligations arising for Transactions established prior to effective dates of revised versions, unless otherwise provided by law or party agreement.

X.Dispute resolution and general provisions

Article 41. Complaints and Disputes

  1. Complaints arising from Platform usage or Transactions shall be handled pursuant to the Complaint and Dispute Resolution Process of LENDI.
  2. Users shall cooperate, providing necessary information and evidence for LENDI to review and handle cases.
  3. LENDI’s receipt or handling of complaints shall not be construed as LENDI waiving rights to apply account, Transaction, or asset management measures under these Terms.
  4. Rights of parties to request competent authorities to resolve disputes shall be executed pursuant to legal regulations and applicable agreements.

Article 42. Applicable Law and Dispute Resolution Body

  1. These Terms shall be governed by and construed in accordance with Vietnamese law.
  2. Where disputes are not resolved through LENDI’s complaint handling mechanism, disputes shall be resolved at competent authorities pursuant to valid agreements between parties or legal regulations.

Article 43. Severability of Terms

If one or several provisions of these Terms are determined invalid or unenforceable, remaining provisions shall continue in full force and effect to the extent permitted by law.

Article 44. Language

These Terms are prepared in Vietnamese. Where LENDI provides translations into other languages for User convenience, the Vietnamese version shall prevail in case of discrepancies, unless otherwise mandatorily required by law.

Article 45. Effect

  1. These Terms become effective from the date published by LENDI on the Platform.
  2. These Terms apply to Transactions executed from effective timing, unless updated versions stipulate otherwise.
  3. Transactions established prior to effective timing of amended Terms shall continue to be governed by versions applicable at Transaction establishment timing, unless otherwise provided by law or party agreement.
